Standard Contract for Export Bahrain’s

‘Export Credit Insurance’ Solution

Preamble
1. As the Labour Fund, referred to hereinafter as “Tamkeen”, believes in its role in supporting the private sector which is the main driver for the Kingdom of Bahrain economic development and creating a suitable environment for the private sector through supporting local business development and human capital development.

For the purpose of achieving the aforesaid, Tamkeen is supporting Export Bahrain in accordance with the stated herein terms and conditions of this Contract, the terms and conditions available on Export Bahrain’s website which are deemed as the legal instrument for the parties to establish an efficient and transparent effective work technique.

2. This preamble, the submitted online application by the Customer (as the case may be), the terms and conditions available on Export Bahrain’s Website shall be an integral part hereof.
Article 1: Definitions
Unless context otherwise requires, the following words and phrases shall have the meanings assigned to them hereunder:

1. Export Bahrain: a national initiative under the incubation of Tamkeen to improve and develop domestic exports in collaboration with other key entities in the Kingdom of Bahrain and international partners. The main objective is to support businesses in Bahrain seeking to access new opportunities in a global marketplace.
2. Tamkeen: the Labour Fund, established by virtue of the Law No. (57) of 2006, which is the support granting body.
3. Solution: a solution in which Export Bahrain covers a percentage of the overall cost incurred for the export credit insurance in accordance with Export Bahrain’s Eligibility Criteria. It offers a support grant for export credit insurance services to help reduce the payment risk and provide the Customer with conditional assurance that payment will take effect incase their foreign buyers are unable to pay.
4. Customer: An enterprise having export transactions that applies to benefit from the Solutions, which is approved in accordance with the applicable Eligibility Criteria, within the Solution’s estimated budget and determined number of Customers to benefit from the Solution.
5. Service Provider: a pre-approved registered company or establishment that performs export credit insurance services and participates in fulfilling requirements of Customers according to Export Bahrain’s Conditional Approval.
6. Application Form: A form prepared by Export Bahrain which contains the Customer’s main data and the Solution applied for. A Customer can apply, through Export Bahrain’s Website, for benefiting from the Solution.
7. Conditional Approval: An approval issued by Export Bahrain after approving the Customer’s eligibility to apply for the Solution.
8. Eligibility Criteria: The eligibility criteria necessary to benefit from the Solution, mentioned in the Terms and Conditions page posted on Export Bahrain’s website.
9. Contract: This standard contract.
Article 2: Export Credit Insurance Solution
1. This is a Solution that offers a support grant to the Customers to obtain the export credit insurance to support them in offering competitive payment terms to foreign buyers while minimizing the risk of non-payment. The Solution will encourage Customers to increase export sales, establish market share in emerging and developing countries and compete more vigorously in the global market.
2. The role of the Service Provider under the Solution is to evaluate customers profile, sales history and buyers list pertaining to the Customer and accordingly determine premiums charged and offer Customers the requested Solution.
Article 3: Costs of the Solution supported by Export Bahrain
1. Export Bahrain’s responsibility is limited to supporting the Solution according to:
- the terms and conditions stated herein;
- the Conditional Approval; and
- terms and conditions available on the website, subject to obtaining the necessary final consents and approvals for the support.
2. The Customer will bear any additional costs determined by the Service Provider – other than the costs defined in the Conditional Approval which is supported by Export Bahrain.
3. Export Bahrain will not bear any financial, moral or other liabilities or any compensation for any direct or indirect losses that may be incurred as a result of benefiting from the solution or which may be due to any party to this contract subject to the terms stated below.
4. Export Bahrain shall support the Customer by supporting a percentage of the overall cost borne by the Customer to support the export operations in international markets/ Solution through the approved stages, subject to not exceeding the maximum percentage ceiling stated within the Conditional Approval.
5. Export Bahrain shall pay the support percentage set in the Conditional Approval, upon Customer’s submission of the proof of payment paid to the Service Provider and submission of the requested
Article 4: Parties Rights, Obligations and Amendments thereto
First: Tamkeen and Export Bahrain’s Rights:

1. Tamkeen has the right to issue regulations, decisions, policies and circulars to achieve its objectives and perform its roles and functions stated within the law establishing it; the right to amend and introduce new Solutions; cancel certain Solution’s; amend terms and conditions of the Solution for the public interest.
2. Tamkeen and Export Bahrain has the right to supervise, control and oversee through all means deemed necessary along with such means stated herein, both achieving objectives of the Solution and parties’ fulfilment of their obligations.
3. Tamkeen and Export Bahrain may, with observance of commercial competition provisions and at its discretion for public interest, disclose the name of the Customer, Service Providers and support percentages executed under the Solution whether to the public or to any party requesting so, the Parties agree not to object to such disclosure.
4. Tamkeen and Export Bahrain has the right to promote for the solution through mass media and disclose its support, names of the Customer and support percentage.
5. Export Bahrain has the right at its sole discretion after assessing the request submitted by the Customer, to reject the request, in whole or in part, if the request does not meet with the Eligibility Criteria of Export Bahrain, the Customer’s, size, requirements and the Solution objectives defined herein.
6. Export Bahrain shall oversee the implementation of the Conditional Approval, Contract and supervise all its stages and it shall take all the necessary measures for this purpose.
7. Tamkeen and Export Bahrain has the right to amend the Conditional Approval, this Contract, the terms and conditions available on Export Bahrain’s website, including changing the Solution type - subject to notifying the Customer of such amendments.
8. Tamkeen and Export Bahrain has the right to suspend the Solution at any time. It shall also have the right to ask the Customer to change the Service Provider for their own interest without incurring any liability toward the parties.
9. Tamkeen and Export Bahrain has the right to conduct investigations and impose penalties stated in the Violations Regulation Related to the Beneficiaries and Service Providers of the Labour Fund’s Programs No. (7) of 2019.
10. Tamkeen and Export Bahrain has the right to request from parties, any information or data relevant to the implementation of this Contract, as well as request meetings at any reasonable time.
11. Export Bahrain may exchange information and hold consultations, in such manner it deems necessary with the Customer regarding the Service Provider.
12. Tamkeen and Export Bahrain may ensure, through any means it deems necessary or as stated in its regulations, decisions and circulations, that the relevant product obtained by the Customer has been acquired for the best price and that it has been properly utilized, as well as having a positive effect on the Customer’s productivity.
13. Tamkeen and Export Bahrain has the right to refrain from paying the support percentage approved towards the Customer, as the case may be, if it is convinced that the Customer have breached their obligations.
14. Tamkeen and Export Bahrain has the right to request the recovery of any payments made to the Customer if it is convinced that the Customer has submitted claims in a fraudulent way or has used the support amounts for purposes other than those stated in the Contract.
15. Tamkeen and Export Bahrain has the right to request the recovery of any payments made to the Customer if it is convinced that the Service Provider committed fraud or manipulation in providing the product supported by Tamkeen/ Export Bahrain.
16. Tamkeen/ Export Bahrain has the right to recover its support amounts from the Customer, in such case the Customer must provide proof that no breach has been committed.
17. Tamkeen and Export Bahrain has the right to monitor the performance of the Customer obligation in executing the Solution in compliance with this Contract, as well as the overall ability to achieve its objectives. Monitoring may include site visits to the Customer premises to inspect the business activities and the methods used by the Service Provider or Customer as required.
18. Tamkeen and Export Bahrain has the right to contact the Customer or Service Provider or conduct a field visits at any time it deems appropriate, to assess the effect of the Solution on the Customer’s performance. Tamkeen and Export Bahrain may request any relevant information such as financial reports, shipment documents, bank statements and Bahrainization reports.


Second: Tamkeen and Export Bahrain Obligations

Export Bahrain shall reimburse the Customer as per the support percentage stated in the Conditional Approval, as the case may be, according to provisions of this Contract and subject to the Customer’s submission of all documents related to utilizing the Solution or any other documents that Tamkeen and Export Bahrain may request.


Third: Customer Obligations

1. To comply with regulations, decisions, instructions, policies and circulations issued by Tamkeen and Export Bahrain.
2. To comply with the terms, Eligibility Criteria, policies and procedures stated herein as well as the support and terms and conditions available on the website with due regard to Paragraph (First1-) of Article 4 herein.
3. To fulfil the standards, conditions and plans for the Solution which are determined by Export Bahrain from time to time which the Customer will be notified with.
4. Not to make any payments to the Service Providers before submitting the application to Export Bahrain to benefit from the Solution, unless a prior written consent is obtained from Export Bahrain.
5. To allow Tamkeen and Export Bahrain’s employees, representatives and whose authorized in writing, to ensure that both the Customer and Service Provider fulfil their obligations toward each other and Export Bahrain, to cooperate with them in submitting the requested reports and fill in Export Bahrain’s designed questionnaires.
6. To provide Tamkeen and Export Bahrain with the requested data, documents and information within the time specified by Export Bahrain. Tamkeen and Export Bahrain have the right to publish certain results and information about the Customer, while observing rules of confidentiality and privacy for which a media consent should be obtained from the Customer before publishing them.
7. The Customer shall bare both civil and criminal legal responsibility for correctness and accuracy of the submitted quotations.
8. The Customer shall notify Export Bahrain if it gets exempted from any amounts, costs or expenses by the Service Provider.
9. The Customer shall disclose to Export Bahrain about any support, in whole or part, by a public or private body or the Service Provider itself to acquire the product including discounts, promotional offers and additional services.
10. Pay the full amount to the Service Provider and submit supportive documents to Export Bahrain to enable it to reimburse its approved support percentage.
11. Provide the adequate number of administrative and competent employees to render the Conditional Approval successfully and achieve objectives of the Solution.
12. The Customer shall directly use the acquired Solution in their line of business without the right to sell or assign it to third parties the prior to the Contract expiry term.
13. To ensure that the Solution is implemented in all aspects, without any conflict of interest, by any person or party with regard to the Solution in accordance with the applicable laws and policies in force in the Kingdom of Bahrain and best practices in this respect.
14. The Customer status must be “active” during the Contract period and disclose any change occurring in the Customer’s legal status whether being insolvency, closure, liquidation, sale or any other change, in which case, Export Bahrain shall be notified within no later than fifteen days from occurrence of such change.
15.To immediately disclose to Export Bahrain any actual or potential situation which may be reasonably interpreted as an existing or potential conflict of interest, when performing this Contract. Tamkeen and Export Bahrain may withhold the support percentage amount if it discovers that the Customer fails to comply with disclosure or in case of conflict of interest or suspicion of fraud.
16. To provide all documents proving payment of its share cost of the Solution and documents which prove the service Provider fulfilment of all its obligations. If the Customer fails to provide such documents, Tamkeen/ Export Bahrain has the right to refrain from paying its support percentage of the Solution and automatically terminate the Contract.
17. To obtain a written consent from Tamkeen or Export Bahrain prior to any advertisement which includes mentioning Tamkeen/ Export Bahrain or the use of their logo.
18. To cooperate and actively participate in studies carried out by Tamkeen and Export Bahrain in regard to the Customer’s participation in Tamkeen’s or Export Bahrain’s Solution.
19. To complete the Solution term and perform all contractual obligations stated whether herein and at the Conditional Approval. Tamkeen and Export Bahrain has the right to request partial or all of the support amount paid if the Customer did not abide by the terms within.
20. To regularly access the Solution page on the website and be updated with all amendments made by Export Bahrain to the terms and conditions.


Fourth: Amendments to the Scope of Work

1. Tamkeen and Export Bahrain has the right to amend this Contract, the terms and conditions available on the website and changing the Solution type subject to notifying the parties of such amendments.
2. The Customer may request amending the Conditional Approval, within the limits of the overall support percentage approved by Export Bahrain. This is subject to Export Bahrain’s sole discretion whether to approve it as deems appropriate.
3. Tamkeen and Export Bahrain will, in no event, be responsible for compensating the Customer or the Service Provider against any amendments or additions made without written consent.


Fifth: Procedures of Implementing the Conditional Approval:

1. To be entitled to receive the support, the Customer shall obtain the final approval from the Service Provider for the support to acquire the Solution. Tamkeen or Export Bahrain will reimburse the support percentage as stated in the Conditional Approval, which is determined after payment has been done by the Customer of the overall cost per month.
2. Export Bahrain will review the submitted quotations to approve the support for the Customer, while determining, examining the scope of work and the costs claimed by the Service Provider and the efforts made therein.
3. Export Bahrain has the right to reject the application from the Customer from the beginning if it is not in line with the Eligibility Criteria and Solution objectives, they shall be notified via an e-mail.
4. The Customer shall, within no later than three months from payment to the Service Provider, submit supportive documents to prove the Solution’s commencement and request payment, otherwise, the Conditional Approval shall be deemed as cancelled. Export Bahrain may extend such period if requested, in writing, by the Customer stating reasons which Export Bahrain will evaluate and decide if it deems reasonable.


Sixth: Follow-up & Control Procedures:

1. Tamkeen, Export Bahrain, or whomever it delegates for this purpose, may contact the Customer or Service Provider and assess the positive effect of the Solution on the Customer’s performance during the period of the Contract.
2. Tamkeen or Export Bahrain shall contact the Customer or the Service Provider or conduct a field visit to them at any time throughout the period of the Contract in order to examine the effect of the Solution on the Customer’s performance. Tamkeen and Export Bahrain may also ask for any information related thereto, such as final reports, bank statements and Bahrainization reports or participating in Tamkeen and Export Bahrain’s studies.
3. Tamkeen and Export Bahrain has the right to continuously oversee the Solution, conduct inspection and record productivity levels.
4. Tamkeen and Export Bahrain may extend the Contract period if it finds proof of breaches or in case the control procedures have not been completed.
5. Follow-up and control procedures shall be conducted with observance of provisions of the paragraph (13/First) of the Article 4 herein. Paragraph (13/First) of Article 4 of this Contract shall be taken into consideration when conducting the follow up and control procedures.


Seventh: Support Eligibility & Payment Procedures

1. Tamkeen and Export Bahrain are not obliged to pay any support percentage in case the Customer does not obtain the Conditional Approval. There is no obligation to pay any support percentage in case of non-performance of the obligations decided in the Conditional Approval.
2. Tamkeen and Export Bahrain shall pay its support percentage after the Service Provider provides the product according to the Conditional Approval. The support percentage shall be calculated on the basis of the overall cost of the product, as stated in the Conditional Approval.
3. Export Bahrain will, prior to paying the support percentage, ensure the product acquired is in conformity to the Contract and as per the communications between contractual parties. Tamkeen and Export Bahrain may withhold the support percentage, in case the Customer commits any breach described in this Contract or in case of breaching the terms and conditions.
4. Without prejudice to Paragraph 2)/11) Article 4 of this Contract, the Customer shall provide the required documents to prove its entitlement to Tamkeen and Export Bahrain’s share in the support, according to the procedures decided by Tamkeen and Export Bahrain. Tamkeen and Export Bahrain shall not pay any amounts in case the conditions related to the entitlement to the support amount are not fulfilled or in case the required documents are not submitted.

The lapse of three months after payment to the Service Provider and declaring shipments without providing the required documents for entitlement to the support shall be considered as relinquishment of the subsidy, relieving Tamkeen and Export Bahrain from their obligation to pay the support percentage decided in the Conditional Approval, unless the Customer proves that, within this period, it has taken the necessary measures to acquire the Solution by paying its share to the Service Provider. The three months period mentioned above, in respect of the product for which the Conditional Approval fixes a date for taking receipt thereof, shall run from such date.
5. Without prejudice to Article 3, the Customer and the Service Provider, as the case may be, shall complete the implementation and receive or deliver all the product within the timeframe set. Tamkeen and Export Bahrain shall be discharged of any payments in respect of which the required documents have not been provided for entitlement to the subsidy within this period, unless Tamkeen or Export Bahrain decides otherwise. Tamkeen and Export Bahrain are not liable for paying any support amounts unless the necessary documents are submitted during this period of being eligible for the support, unless otherwise determined by Tamkeen or Export Bahrain.
6. No support amount shall be paid towards any payments made prior to the Application Form for benefiting from the Solution or/and cash payments.
7. In case the payment/ acquirement was through an overseas Service Provider (outside Bahrain) in a foreign currency, Tamkeen’s reimbursement will be made in Bahraini Dinars as per the exchange rate set.
8. Tamkeen or Export Bahrain may choose the support payment method as it deems appropriate.
Article 5: Duration of the Contract, Expiry, Rescission, Withdrawal and Assignment
The following provisions shall apply along with the provisions for termination, rescission or cancellation of the Contract stated herein, the terms and conditions available on the website:


First: Contract Term and Expiry:

The term of this Contract is fifteen (15) months effective from the Conditional Approval date issued. This Contract shall be deemed as an integral part of Conditional Approval and shall be read therewith. Tamkeen or Export Bahrain may extend this term and it shall terminate upon expiry hereof or upon completion of the parties’ obligations.


Second: Rescission/Termination of the Contract

1. Rescission Cases: Export Bahrain may unilaterally rescind this Contract in the event of:

A. If any of the conditions and terms, which determined by Tamkeen or Export Bahrain, for benefiting from the Solution becomes non-existing during the Contract effectiveness.

B. If Tamkeen discovers that the Service Provider or Customer exercised fraud to get support from Tamkeen without prejudice of the criminal responsibility.
C. If the Service Provider or Customer fails, upon Tamkeen or Export Bahrain sole discretion, to fulfil its obligations herein or has been negligent in performing those obligations.

D. If the Service Provider or Customer breaches any of Articles herein or stated in the Conditional Approval.

E. In case of the Service Provider or Customer’s liquidation or closure or in case either of them is adjudicated as bankrupt or insolvent or gets a court order to go into dissolution and annulment of its legal entity.

F. In case of failure to commence the implementation and providing the supportive documents during such periods specified herein.

2. Rescision Method:

A. In case of irreparable breach, rescission will be made by virtue of a written notice by Tamkeen or Export Bahrain to the Customer or the Service Provider containing relevant reasons.

B. If the breach is capable of being rectified, rescission shall be preceded by a ten-days written notice during which Export Bahrain grants the Customer or the Service Provider a grace period to rectify any default. If such default is not rectified and Export Bahrain is not notified accordingly at the end of the set period, Tamkeen or Export Bahrain may terminate the contract as it deems necessary and in the manner it considers appropriate.

3. Effect of Rescission:

A. Tamkeen and Export Bahrain will be relieved from any obligation to provide the support percentage specified in the Contract and in the Conditional Approval toward all parties and third parties.

B. Tamkeen and Export Bahrain will be entitled to claim recovering such grant given to the Customer or the Service Provider, as the case may be.


Third: Withdrawal of the Customer:

The Customer may withdraw from the Solution after notifying Export Bahrain, in writing, of its desire to withdraw citing reasons. In which case, the Customer shall submit a declaration stating that they will refund Tamkeen for all the support amounts paid, such amounts shall be immediately paid by the Customer. Reasons for withdrawal includes: sale, liquidation, dissolution or closure of the Customer or otherwise.


Fourth: Assignment or Transfer:

1. The Customer shall not assign its rights or obligations hereunder, either in whole or in part, to any third party without the prior written consent of Export Bahrain.
2. All rights of the Customer may be assigned if the new owner submits a declaration agreeing to comply with this Contract. In case a declaration is not submitted, the Customer shall immediately refund all support amounts paid by Tamkeen or Export Bahrain within the framework of the support.
3. Tamkeen and Export Bahrain may fulfil all its obligations and exercise all its rights hereunder by a representative body appointed for the purpose of fulfilling such obligations and rights, either in whole or in part, in which case, the Customer shall comply with the measures and procedures taken by such appointed body.
Article 6: General Provisions
First: Applicable Law & Jurisdiction:

This Contract shall be governed and construed according to applicable laws of the Kingdom of Bahrain and any dispute arising out of this Contract shall be considered by Courts of Bahrain.


Second: Confidentiality

Each Party shall comply with the following conditions:

1. Use such confidential information disclosed by either party to the other for the purpose of this Contract, which shall be limited to the parties thereto, and may not be disclosed to any third party.
2. The parties shall comply with the condition of not releasing information as provided in the Article 4 herein, parties shall not release any subject or information related to this Contract without a prior written consent from the other party, except where the release is necessary and is required by any authorized body by virtue of applicable laws and policies taking into account that concerned parties will take reasonable steps to obtain the prior consent from the other party about content of the release.


Third: Violations & Grievances

Any violation committed by the Customers, it’s investigations, penalties and grievances shall be governed by the Violations Regulation Related to the Beneficiaries and Service Providers of the Labour Fund’s Programs No. (7) of 2019 and any other decisions, regulations, instructions, policies and circulars released by Tamkeen and Export Bahrain.


Fourth: General Provisions

1. The Customer acknowledges that neither Tamkeen nor Export Bahrain is liable for any dispute arising between them and the Service Provider out of this Contract, the Conditional Approval and terms and conditions available on the website, thus, neither Tamkeen nor Export Bahrain shall be held accountable for any liability. In addition, Tamkeen or Export Bahrain will be entitled to cancel the approved support in case of failure of both the Customer and Service Provider to settle their disputes within six months from the date it arises.

2. This Contract constitutes the entire understanding and agreement between the Tamkeen and the Customer with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, warranties and understandings between the parties (whether oral or written).
3. Parties agree that all communications hereunder shall be in writing. The Customer agrees to interact through electronic means according to requirements and provisions of the Electronic Transactions law issued by the Kingdom of Bahrain.
4. All documents and information shall be deemed correct and true towards the Customer unless otherwise proven.
5. Notices: any notices and correspondence given by either party to the other shall be delivered by hand or sent via registered mail or e-mail to such addresses stated in the Conditional Approval.
6. Tamkeen and Export Bahrain notices shall be addressed to: Bahrain Chamber of Commerce & Industry “Bait Al Tijjar”, Bld No. 519, Road 1010, Compound 410, Sanabis, Kingdom of Bahrain, P.O Box: 18131, Manama, Kingdom of Bahrain.
7. Either party shall immediately notify the other, in writing, with any change in the referred to addresses, otherwise notices sent to the stated herein addresses shall be duly served.
8. If any provisions hereof become null and void, invalid or enforceable, this shall not affect or limit the effectiveness, validity and enforceability of other provisions herein, unless the Contract is materially affected.
9. Neither Tamkeen’s nor Export Bahrain’s failure or delay in exercising or utilizing any right or claim for compensation hereunder shall not be deemed as waiver of the same and partial exercise of any right or claim for compensation and shall not prevent Tamkeen nor Export Bahrain from future exercising the same right or claiming such compensation in whole.
10. The Customer acknowledges that they have read the terms and conditions of this Contract, the Conditional Approval and the terms and conditions available on Export Bahrain’s website and that they understand them and hereby consent thereto.
END
